1. INTRODUCTION AND LEGAL AGREEMENT
Welcome to Ekkali, an exclusive, members-only professional network. These Terms and Conditions (“Terms”) are a legally binding agreement between you, whether personally or on behalf of an entity (“Member,” “User,” “you”), and EKKALI Inc., a Florida corporation (“Ekkali,” “we,” “us,” or “our”).
These Terms govern your access to and use of the Ekkali mobile application (available on iOS and Android), the Ekkali web-based dashboard, and the Ekkali landing page (collectively, the “Platform”). Ekkali provides a refined environment designed specifically for luxury car service and limousine professionals to collaborate, share overflow work, and engage in a private marketplace.
By accessing the Platform, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Platform and must discontinue use immediately.
2. DEFINITIONS
For the purposes of these Terms:
“Affiliate” refers to a vetted professional member of the Ekkali network who posts or accepts overflow work.
“Member” refers to any individual or business entity that has successfully registered and maintained an active, paid membership on the Platform.
“Overflow Work” refers to transportation assignments or jobs posted by one Member to be fulfilled by another Member within the network.
“Platform” refers to the iOS application, Android application, and the web-based dashboard located at the Ekkali domain.
“Services” refers to the communication tools, marketplace, and networking features provided by Ekkali.
3. ELIGIBILITY AND MEMBERSHIP STANDARDS
3.1 High-Level Professionalism
Ekkali is an exclusive network created solely for luxury car service and limousine professionals operating at the highest level of the industry. The Platform is designed for quality, not volume. Membership is granted at the sole discretion of EKKALI Inc.
3.2 Representation of Authority
If you are registering on behalf of a company, you represent and warrant that you have the legal authority to bind that entity to these Terms. You must be at least twenty-one (21) years of age to hold a membership.
3.3 Vetting and Discretion
Ekkali is built on discretion, trust, and uncompromising standards. We reserve the right to deny membership to any applicant who does not meet our internal criteria for luxury transportation professionalism.
4. ACCOUNT REGISTRATION AND SECURITY
4.1 Account Creation
To access the network, Users must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.
4.2 Credentials
You are responsible for safeguarding your password and any other credentials used to access the Platform. You agree not to disclose your password to any third party. You must notify Ekkali immediately of any unauthorized use of your account or any other breach of security.
4.3 Account Removal
Users may request data deletion or account removal at any time. Upon such a request, Ekkali will process the removal in accordance with its Privacy Policy and legal retention obligations.
5. INDEPENDENT CONTRACTOR STATUS
5.1 No Employment Relationship
Members, including all drivers, operators, and affiliates, are independent contractors and NOT employees, agents, joint venturers, or representatives of EKKALI Inc..
Ekkali does not direct or control your business, your schedule, your vehicle maintenance, or your performance of transportation services.
You are solely responsible for your own taxes, workers’ compensation insurance, and commercial liability insurance.
Nothing in these Terms shall be construed as creating an employer-employee relationship between Ekkali and any Member.
5.2 Business Autonomy
Members retain the absolute right to determine which “overflow work” they accept and how they execute their professional duties, provided they remain aligned with the luxury standards of the network.
6. FEES, PAYMENTS, AND RENEWALS
6.1 Yearly Membership Fee
Access to the Ekkali network is subject to a yearly membership fee.
6.2 Payment Administration and Processing
Membership fees may be administered and processed through authorized billing channels, including external platforms or third-party service providers. Such channels are designated by Ekkali for the purpose of facilitating secure and efficient financial transactions related to membership and account management..
6.3 Payment Third Parties
Ekkali utilizes a third-party payment processor. By paying the membership fee, you agree to comply with the third-party processor’s terms of service. Ekkali is not responsible for errors or security breaches occurring on the third-party processor’s platform.
6.4 No Refunds
Membership fees are generally non-refundable, as they grant immediate access to an exclusive network of professional contacts and proprietary communication tools.
7. ONBOARDING DOCUMENTATION AND VERIFICATION DISCLAIMER
7.1 Collection of Documents
During onboarding, Ekkali collects various documents, including but not limited to:
Full Name, email, and phone number.
Driver’s license and “hack” license.
Profile picture and vehicle registration.
Local permits and commercial insurance certificates.
7.2 ABSENCE OF VERIFICATION
IMPORTANT: EKKALI Inc. collects these documents for onboarding purposes and internal record-keeping only. Ekkali DOES NOT verify whether the documents provided are real, fake, accurate, valid, or current.
Ekkali does not guarantee the authenticity or accuracy of any document provided by a Member.
The sole and absolute responsibility for maintaining valid licenses, permits, and insurance remains with the Member.
Members are encouraged to perform their own due diligence before collaborating with other affiliates.
8. OVERFLOW WORK AND NETWORK INTERACTIONS
8.1 Facilitation Only
The Platform enables vetted affiliates to post overflow work and collaborate. Ekkali acts merely as a digital venue for these professional connections.
8.2 No Guarantee of Work or Revenue
Membership in Ekkali DOES NOT guarantee job opportunities, business volume, partnerships, or financial outcomes.
Ekkali is not a dispatch service and does not assign work to Members.
The frequency and value of overflow work depend entirely on the activity and needs of other Members in the network.
8.3 Professional Communication
Ekkali provides live communication chat tools to support coordination. Users agree to use these tools professionally. Any harassment, spamming, or unprofessional conduct may lead to immediate account suspension.
9. PRIVATE MARKETPLACE TERMS
9.1 “As-Is” Marketplace
Ekkali features a private marketplace for Members to buy or sell vehicles or equipment related to the luxury transportation business.
All listings in the marketplace are provided on an “as-is” and “as-available” basis.
Ekkali does not inspect, warrant, or guarantee the condition, safety, or legality of any item listed for sale.
9.2 Transaction Risk
Ekkali is not a party to any transaction between Members. Any contract for sale is strictly between the buyer and the seller. Ekkali is not liable for any fraud, misrepresentation, or financial loss resulting from marketplace transactions.
10. PROMOTIONAL OFFERS AND DISCOUNTS
10.1 Optional Availability
The Platform may include a section for industry-related promotional offers, discounts, or coupons.
These offers are provided on an optional and availability-only basis.
Ekkali does not guarantee the presence, frequency, or value of any deal.
Promotions are not considered a core benefit of the paid membership and may be removed at any time without notice.
11. PROTECTION FROM LITIGATION AND MEMBER DISPUTES
11.1 No Involvement in Disputes
EKKALI Inc. shall not be involved in any litigation, dispute, or disagreement between Members.
If a dispute arises between Affiliates regarding “overflow work” (e.g., payment disputes, service quality issues, or vehicle damage), the involved parties must resolve the matter independently.
Ekkali will not act as an arbitrator or mediator in Member-to-Member conflicts.
11.2 Release of Liability
By using the Platform, you release EKKALI Inc. from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with disputes between you and other Members.
12. INTELLECTUAL PROPERTY RIGHTS
Unless otherwise indicated, the Platform and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Platform (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us.
13. PROHIBITED ACTIVITIES
You agree not to engage in any of the following prohibited activities:
Attempting to impersonate another Member.
Uploading fraudulent licenses or insurance documents.
Using the Platform for any illegal or unauthorized purpose.
Attempting to bypass established billing obligations.
14. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, EKKALI Inc. and its directors, employees, or agents will not be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data, arising from your use of the platform.
Specifically, Ekkali is not liable for:
Errors or inaccuracies in Member-provided documentation.
The conduct of any Member or driver, whether online or offline.
The failure of any transaction or partnership initiated via the Platform.
Any unauthorized access to your data by third parties.
15. INDEMNIFICATION
You agree to defend, indemnify, and hold EKKALI Inc. harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of:
Your use of the Platform.
Your breach of these Terms.
Your provision of inaccurate or fraudulent documentation.
Your interactions or disputes with other Members.
16. TERMINATION AND SUSPENSION
16.1 Right to Terminate
Ekkali reserves the right, in its sole discretion and without notice or liability, to deny access to and use of the Platform (including blocking certain IP addresses) to any person for any reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms.
16.2 Survival
Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
17. GOVERNING LAW AND JURISDICTION
17.1 Florida Law
These Terms and your use of the Platform are governed by and construed in accordance with the laws of the State of Florida, applicable to agreements made and to be entirely performed within the State of Florida, without regard to its conflict of law principles.
17.2 Venue
Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted exclusively in the state and federal courts located in Florida, USA, and the parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens.
18. MODIFICATIONS TO TERMS AND SERVICES
18.1 Right to Amend
Ekkali reserves the right to change, modify, or remove the contents of these Terms at any time or for any reason at our sole discretion without notice.
We will alert you about any changes by updating the “Last Updated” date of these Terms.
Your continued use of the Platform after the posting of changes constitutes your acceptance of such changes.
18.2 Platform Changes
We reserve the right to modify or discontinue all or part of the Platform without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Platform.
19. MISCELLANEOUS
No Waiver: Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.
Severability: If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.
No GPS Tracking: Ekkali explicitly confirms that it does not use real-time GPS tracking or location services for its Members.
Entire Agreement: These Terms constitute the entire agreement and understanding between you and EKKALI Inc.
